# Terms of Service

## 1. Acceptance of Terms

By accessing or using Ordinary ("the Service"), operated by
LoudNoises, LLC ("we," "our," or
"us"), you agree to be bound by these Terms of Service
("Terms"). If you do not agree to these Terms, you may not
use the Service.

These Terms apply to all users of the Service, including
organizations and individual users.

## 2. Description of Service

Ordinary provides analytics, reporting, and business intelligence
tools that integrate with various e-commerce platforms and
advertising services including:

- Shopify store analytics
- Meta (Facebook/Instagram) advertising insights, including placement and demographic performance breakdowns, ad campaign and ad set configuration history, an ad-creative library, and conversion-gap analysis between platform-reported and store-attributed orders
- Amazon Seller and advertising data, including sales and traffic metrics, financial data (settlements, fees, and refunds), inventory levels, and order records, together with Sponsored Products, Brands, and Display advertising performance. Read-only ingest
- Google Ads performance reporting, including campaign-, ad-group-, ad-, and keyword-level metrics; device, network placement, geographic, and demographic breakdowns; an ad asset library; daily configuration history; and cross-channel attribution joining your storefront orders to Google-attributed clicks. Read-only ingest — no campaign creation, modification, or conversion upload
- Klaviyo email and SMS campaign + flow performance reporting, including engagement metrics, per-campaign attributed revenue, and orders joined to Klaviyo clicks via the `_kx` parameter on email and SMS links. Read-only ingest — no campaign sends, list or segment edits, or write-side calls
- Analytics tracking (Google Analytics 4, PostHog)
- Inventory management (ShipBob)
- AI-powered creative analysis and generation (Google Gemini, OpenAI, Anthropic) — including winning-angle analysis, copy suggestions, and creative drafts. AI outputs are presented as suggestions for your review; Ordinary does not publish ads to advertising platforms on your behalf without your explicit action

## 3. Account Registration and Security

### 3.1 Account Creation

You must provide accurate and complete information when creating an
account. You are responsible for maintaining the confidentiality of
your account credentials.

### 3.2 Account Security

You are responsible for all activities that occur under your
account. Notify us immediately of any unauthorized access or
security breach.

### 3.3 Organizations

If you are using the Service on behalf of an organization, you
represent that you have the authority to bind that organization to
these Terms.

### 3.4 Account creation when installing from the Shopify App Store

If you install Ordinary directly from the Shopify App Store, we
create your Ordinary user account using the shop owner's name
and email that Shopify shares with us during the install
handshake. We pass that information to Clerk, our
identity-management provider, to mint your account. No password is
collected from you at install — you can set one later from
your account settings or sign in via SSO. If a Clerk account
already exists for the same email, we attach your Ordinary access
to that existing account rather than creating a duplicate. You can
alternatively complete a manual sign-up at tryordinary.com and
then connect Shopify from inside the dashboard if you prefer to
use a different email address.

### 3.5 Recording your acceptance of these Terms

When you accept these Terms or our Privacy Policy — at
sign-up, when the documents change, or via in-app prompts —
we log a record of that acceptance so we can demonstrate consent
if asked. Each acceptance record includes which document, the
document version, the calendar timestamp, your browser
User-Agent, and a label describing where the acceptance happened.
We record your IP address with this log only when you accept from
a region we treat as permissive (outside the EU/EEA, UK,
Switzerland, and Brazil). See the Privacy Policy for the full

## 4. Subscription and Billing

### 4.1 Subscription Plans

We offer various subscription tiers with different features and
limits. Current pricing is available on our website and within the
application.

### 4.2 Billing via Shopify

If you install our app through the Shopify App Store, all billing
is handled through Shopify's Billing API. Payments are subject
to Shopify's terms and conditions.

### 4.3 Billing via Stripe

For direct subscriptions, we use Stripe for payment processing. You
agree to provide current, complete, and accurate billing
information.

### 4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period
unless canceled. We will charge your payment method on file.

### 4.5 Refunds

Refunds are provided at our discretion. Generally, we do not provide
refunds for partial months or unused services.

## 5. Acceptable Use

You agree not to:

- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to our systems
- Reverse engineer or decompile the Service
- Use the Service to harm, harass, or defraud others
- Resell or redistribute the Service without authorization
- Use automated tools to scrape or extract data excessively
- Interfere with the proper functioning of the Service

## 6. Data and Privacy

Your use of the Service is also governed by our  [Privacy Policy](/privacy), which is incorporated into these Terms by reference. The
Privacy Policy includes our current  [sub-processor list](/privacy#sub-processors), which identifies every third-party service we use to deliver
the Service and the country in which each one processes data.

We comply with GDPR and CCPA regulations. You retain ownership of
your data, and we process it only as necessary to provide the
Service. Merchants processing personal data of EU/EEA, UK, or
Swiss customers can read our  [Data Processing Agreement](/data-processing-agreement) directly, or contact  **privacy@tryordinary.com** to request a
counter-signed copy.

## 7. Third-Party Services

The Service integrates with third-party platforms (Shopify, Meta,
Amazon, etc.). You are responsible for complying with those
platforms' terms of service.

We are not responsible for the availability, accuracy, or
functionality of third-party services.

## 8. Intellectual Property

### 8.1 Our Rights

The Service, including all software, designs, trademarks, and
content, is owned by Better Tomorrow Brands and protected by
intellectual property laws.

### 8.2 Your Rights

You retain all rights to the data you provide or generate using the
Service. You grant us a limited license to process your data solely
to provide the Service.

## 9. Disclaimers and Limitations of Liability

### 9.1 Service Availability

The Service is provided "as is" without warranties of any
kind. We do not guarantee uninterrupted or error-free operation.

### 9.2 Data Accuracy

While we strive for accuracy, we do not warrant that data displayed
in reports is complete or error-free. You are responsible for
verifying critical business decisions.

### 9.3 Limitation of Liability

To the maximum extent permitted by law, we are not liable for
indirect, incidental, consequential, or punitive damages arising
from your use of the Service.

Our total liability is limited to the amount you paid us in the 12
months preceding the claim.

## 10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages,
or expenses arising from your use of the Service or violation of
these Terms.

## 11. Termination

### 11.1 By You

You may cancel your subscription at any time through the Settings
page or by contacting support. Your access will continue until the
end of the current billing period.

### 11.2 By Us

We may suspend or terminate your account if you violate these Terms,
fail to pay, or engage in harmful behavior.

### 11.3 Effect of Termination

Upon termination, your access to the Service will cease. You may
request a data export within 30 days of termination.

## 12. Changes to Terms

We reserve the right to modify these Terms at any time. We will
notify you of material changes via email or in-app notification.

Continued use of the Service after changes constitutes acceptance of
the new Terms.

## 13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction where
Ordinary is registered, without regard to conflict of law principles.

Any disputes shall be resolved through binding arbitration, except
where prohibited by law.
